I. About This Policy

Quointec, LLC is a legal technology and advisory company based in Chicago, Illinois, U.S.A., that develops AI-driven tools and solutions that automate the delivery of legal and compliance services for clients in areas such as data privacy and security, corporate disclosure, information governance, health care, and more. When we refer to “Quointec,” “we,” “us” or “our,” or the “company” in this Policy, we mean Quointec, LLC, a subsidiary of Actuate Law, LLC.

When we refer to “you” or “your,” we mean the person accessing this Privacy Policy.  If the person accessing this Privacy Policy through this website acts on behalf of, or for the purposes of, another person, including a business or other organization, “you” or “your” also means that other person, including a business organization.

This Site is a commercial website and is intended for use by persons and organizations, and their employees and agents, to obtain information about Quointec’s products and services (collectively, the “Site”). 

If you have arrived at this Privacy Policy by “clicking” on an authorized link directing you to a Quointec-operated Site, then this Privacy Policy applies to you and such Site. This Privacy Policy does not apply to any website owned and/or operated by or on behalf of any third party, even if we provide a link to such website on one of our Sites. Capitalized terms used herein without definition shall have the meanings given such terms in Quointec’s Terms of Use.

We created this Privacy Policy to help you understand how we collect Personal Information, what types of Personal Information we collect, how we use and share it, the steps we take to safeguard it, and the choices you have regarding how it may be used and disclosed. This Privacy Policy addresses some types of information, including Personal Information, means of collecting such information, and uses of such information that may not presently apply to you or the Site.  We are nevertheless advising you about these matters because we want to maintain flexibility in offering additional features without having to revisit this Privacy Policy every time we revise the Site or offer new functions.  No description of any type of information, means of collecting information, including personal information, or use of such information will obligate us to collect or retain any particular information, make any particular use of any such information, or offer any particular functionality for the Site.

By submitting any personal information through our Site, you give us your permission and consent for the collection, use, retention and disclosure of your personal information as set forth in this Privacy Policy and the Terms of Use, as permitted or required by applicable law. If you do not agree with the terms of this Privacy Policy or the Terms of Use, you should immediately stop using or accessing the Site.

We do not knowingly attempt to solicit or receive information from persons residing outside the U.S.A. Please note that the Site may be hosted in countries other than yours, including the United States. By accessing the Site, you expressly consent to the transfer of your information to places outside of your home country, which may provide for different data protection rules than in your country.

We also do not knowingly attempt to solicit or receive any information from children. Use of our Site and Quointec’s services is strictly limited to persons who are of legal age in the jurisdictions in which they reside.  You must be at least eighteen (18) years of age to use our Site and Quointec’s services. If you are not at least 18 years of age, please do not provide any Personal Information through this Site.

Quointec likewise will not knowingly accept any information from an individual under the age of thirteen (13) years.  In compliance with the Children’s Online Privacy Protection Act (“COPPA”), any information that Quointec may receive from any individual who is reasonably believed to be under the age of thirteen (13) years will be deleted.  If you are under the age of thirteen (13) years, please do not provide any Personal Information through the Site.  If you are under the age of thirteen (13) years and have already provided Personal Information through the Site, please have your parent or guardian contact us immediately using the contact information below so that we can remove such Personal Information from our files.

Quointec reserves the right, in its sole and absolute discretion, to change, modify, add or remove any portion of the terms, in whole or in part, of this Privacy Policy at any time.  Please review this Privacy Policy periodically, as we may update it from time to time.  Each time you visit the Site or provide us with information, including Personal Information, you are accepting the practices described in this Privacy Policy as in effect at that time, unless you expressly indicate otherwise as provided for herein.

II. Personal Information We Collect

The following is a description of: (i) the categories of Personal Information we may collect; (ii) the sources from which we may collect it; (iii) the purposes for which we may collect it; and (iv) the categories of any third parties we may share it with: 

A. Personal Information That You Provide To Us Directly. 

“Personal Information” refers to information that is reasonably capable of identifying (whether directly or indirectly) a particular individual or household, such as information you provide on our forms, surveys, applications or similar online fields. Examples of Personal Information may include your name, physical/mailing address, e-mail address, telephone numbers, and demographic information (e.g., zip code, hometown, etc.). If you voluntarily choose to submit or otherwise disclose Personal Information to us, including through the Site, or by regular mail, telephone, fax, e-mail or other electronic communication, it is governed by this Privacy Policy. 

We collect Personal Information from you or about you when you provide it to us directly through the Site or otherwise, such as signing up for a newsletter or by joining our mailing list. We may also obtain Personal Information when you request information, products or services from, or otherwise interact with, us. We may also gather such Personal Information through your access to your account online, as well as your asking questions through the “Contact Us” section of the Site. You may, however, visit our Site without providing such information. 

B. Information Collected Through Your Use Of The Site.

Like most other websites, Quointec’s website collects certain information automatically and stores it in log files. The information may include internet protocol (IP) addresses, the region or general location where your computer or device is accessing the internet, browser type, operating system and other usage information about the use of the Site, including a history of the pages you view. We use this information to help us design our site to better suit our users’ needs. We use this information to operate, maintain, and provide to you the features and functionality of the Site. Quointec does do not sell this information to or share it with any third-parties.

1. Your IP Address. 

Each time you visit the Site, we may automatically collect your IP address and the web page from which you came. In order to administer and optimize the Site for you and to diagnose potential issues with our Site, we may use your IP address to help identify you and to gather broad demographic information about you. We may also use your IP address to help diagnose problems with our server and to administer our website, analyze trends, track visitor movements, and gather broad demographic information that assists us in identifying visitor preferences.

2. Location Data on Mobile Devices. 

We may also collect information gathered by certain mobile applications and that identifies your physical location. This information may be collected from your mobile device’s location-aware features when you request certain services that are dependent on your physical location. Location Data may convey to us information about how you browse and use the Site. Location Data may be used to personalize and customize your experience when using the Site, facilitate the functionality of certain features within the Service, and to improve the Site. Some features of the Site, particularly location-based services, may not function properly if use or availability of Location Data is impaired or disabled. We use this information to operate, maintain, and provide to you the features and functionality of the Site. Quointec does do not sell this information to or share it with any third-parties.

3. Cookies. 

The Site may use a browser feature known as a “cookie.”  A cookie is a piece of data stored on the computer that runs an Internet browser and is commonly used to store information about a consumer’s online activities, including information such as the content or advertisements that a consumer views or the pages a consumer visits within a particular website.  It can contain information about you, your computer, your browser, your session, the websites you visit and other information about you or others who use, or have used, the computer or browser you use to access the Internet. We use cookies as a convenience feature to save you time, to understand how our Site is used, and to improve the content and offerings on our Site. For example, we may use cookies to personalize your experience at our web pages or recall your specific information on subsequent visits (e.g., to recognize you by name when you return to our Site). We may also use cookies to offer you or inform you of products, programs or services that Quointec offers.

4. Analytics Information. 

The Site may use analytic tools to help us analyze the performance of our Site and services as well as how visitors use our Site and services. The information collected by these tools is aggregated and anonymized. To opt-out of being tracked by Google Analytics across all websites visit http://tools.google.com/dlpage/gaoptout.  This will allow you to download and install a Google Analytics cookie-free web browser.

C. Information Provided To Us By Others.

We may supplement the information we receive from you with other information we receive from third-party sources.  Thus, information we obtain through the Site may be intermingled with and used in conjunction with information obtained through sources other than our Site, including both offline and online sources.

III. How We Use Information We Collect

We may use your Personal Information to help us improve our product and service offerings, improve the Site’s functionality, process queries on the Site, to contact you when necessary in connection with products or services you have inquired about via the Site, and to send you information about our products and services.  We may also use your Personal Information for any other purpose to which you expressly consent.

IV. Who We Share Your Information With

A. No Sale of Personal Information to Third-Parties for their Own Use.

Quointec does not, and will not, sell to third-parties for their own use any of the Personal Information that you provide. Similarly, except as described in this Privacy Policy, we do not disclose to third-parties information about your visits to our Site or Personal Information that you provide to us, except (i) when you direct us to disclose such information to intentionally interact with a third-party; or (ii) when we believe, in good faith, that such disclosure is reasonably necessary to comply with a legal obligation. As mentioned, Quointec also does not knowingly collect and therefore does not share Personal Information of minors under 16 years of age without affirmative authorization.

B. Sharing Personal Information with Service Providers That Help Us Perform Our Business Purposes.

We may provide your Personal Information and other information that you have provided to us through the Site to other companies (“Service Providers”) that provide services to help us with our business activities such as to host or maintain our Site; for data processing services; to provide website or data security; to provide operational, analytical or reporting services; or to provide technical support.  In connection with providing those services to Quointec, a Service Provider may have access to your Personal Information.  Such Personal Information will not be used for any purpose other than as reasonably necessary to perform a business purpose that Quointec authorizes, and it will not be further used or disclosed by the Service Provider to any Third Party.

C. Responding to Law Enforcement and Legal Requests.

Quointec may disclose your Personal Information when required by subpoena, court order or other legal process, or if it has a good-faith belief that disclosure is necessary to (a) comply with any applicable federal, state or local law or regulation, (b) assist government enforcement agencies, (c) investigate, prevent or take action in connection with suspected or actual illegal activities, (d) investigate suspected or actual violations of Quointec’s rights, (e) protect the rights, property or safety of Quointec and its customers or employees, or others, (f) investigate and defend against any third-party claims brought against Quointec or (g) protect the security and integrity of our Site.

D. Sale of our Company or Assets.

Quointec may also disclose Personal Information and other information to a third party in connection with the sale, assignment or transfer of some or all of the assets of Quointec or its subsidiaries or affiliates or as the result of a change in control of Quointec, in which case we will require any such third party to treat any such Personal Information in accordance with this Privacy Policy.  Any such third party to whom Quointec sells, assigns or transfers Quointec’s assets will have the right to use the Personal Information and other information that you have provided to us.

E. Internal Use and Research.

Quointec reserves the right to use and disclose de-identified information; anonymized information; aggregated information or publicly available information that has not been combined with nonpublic Personal Information for purposes including, but not limited to, Quointec’s internal use and research.

V. Other Sites/Third Party Links

Our Site may contain links to other websites operated by third parties whose practices may be different than ours. When you click on such links and visit such other websites, you need to be aware that we may not control such other websites or such other websites’ business practices, and that this Privacy Policy does not apply to those other websites.  Consequently, the operators of the other websites may collect different kinds of information about you, and may use and disclose that information in different ways than we would. You should check the other sites’ privacy notices because Quointec has no control over information that is submitted to or collected by them. We encourage you to review other websites’ privacy policies and remind you that we will not be responsible for the actions of the operators of such websites, or their use of your information.

VI. Protection Of Your Information

Quointec will take reasonable security procedures and practices appropriate to protect the Personal Information we collect from loss, misuse, unauthorized access, disclosure, alteration and destruction that are appropriate to the nature of the data.  Our data security policies and practices are periodically reviewed and modified as necessary.

While Quointec strives to undertake reasonable measures to secure Personal Information provided to us through the Site, such security measures do not guarantee the security of all Personal Information, and Quointec cannot guarantee that the Personal Information it collects, uses and retains will be protected in all circumstances, including those beyond Quointec’s reasonable control.

VII. Notice Regarding Unauthorized Access or Disclosure of Personal Information

For the purposes of any applicable law regarding notification of persons whose Personal Information was, or is reasonably believed to have been, acquired by an unauthorized person, any required notification may, where permitted by law, be made by the use of e-mail, telephone, fax or mail (including a notice printed in an available area of a bill or statement) or by posting a notice on the Site.  The specific means used is up to us, and we will use our best judgment based on the circumstances and as may be required by law.  Where any notice is to be sent to a specific address or number (such as an e-mail address, physical address, telephone number, etc.), we will use the most recent available address in our records.  BY USE OF THIS SITE YOU AGREE TO THIS MEANS OF NOTIFICATION.

VIII. International Users; Geographic Location of Information

If you are visiting the Site from outside of the United States, your connection may be made through and to servers located in the United States, your registration, entries and orders placed through the Site may be fully processed in and from the United States, and all information you provide may be processed and maintained in our web servers and internal systems located within the United States.  By using the Site, you authorize the export of Personal Information to the United States and its storage and use as specified above when you provide such information to us.  This Privacy Policy and our legal obligations are subject to the laws of the State of Illinois and the United States, regardless of the location of any user.  Any claims or complaints must be filed in the courts the United States in the State of Illinois.

IX. Updating or Correcting Your Information

If your Personal Information changes or if you have reason to believe that your Personal Information as we maintain it is incorrect and you are unable to change your Personal Information by logging into your account, you may contact us at info@quointec.com, and we shall attempt to accommodate all reasonable requests for such changes.

We reserve the right to change, modify or update this Privacy Policy at any time without notice.  We indicate the date of the current Privacy Policy above, so you know when it was last updated.  Continued use of this Site after any such revision or modification constitutes your acceptance of this Privacy Policy as so revised or modified.  If we decide to change this Privacy Policy, we will post the changes on one or more Sites and/or other places we deem appropriate.  BY USING THE SITE(S), YOU AGREE TO THIS CHANGE PROCEDURE.
